2023 NOTICE OF ANNUAL MEETING

The purpose of this meeting is to review the events of the past year and discuss
the future of your company. Our auditor, the firm of PBMares, will also be available to present this year's audit report and answer any questions that the members may have.

Regarding the election of directors, the corporate attorney will present meeting minutes from the Nominating Committee Meeting. The committee members in attendance consisted of Paxon Holz, who was nominated as the Chairperson, April Pike, Shirley Holland, Leslie Davis Jr., and Ronnie Cannon. The committee met January 10, 2023 and placed the following incumbent directors in nomination: Brenda Newman (Gales Creek), C. Earl Salter (Broad Creek), and Samuel Gibson (Ocean). The nominees will serve an additional three-year term. In the absence of nominations, no ballot voting will be required this year.
